End User License Agreement (EULA)

1. Acceptance of Terms

By using Eclipse DOT or DOT Docs software, websites, mobile apps, or related tools (collectively called the “Products”), you agree to this End User License Agreement (“Agreement”). If you don’t agree, please stop using the Products.

2. License Grant

Eclipse DOT grants you a limited, non-exclusive, non-transferable, revocable license to use our Products for your own company’s internal operations, in line with this Agreement. You are not buying the software — just the right to use it while this license is active.

3. Restrictions

You agree that you will not:

• Copy, modify, or redistribute any part of the Products.
• Reverse engineer, decompile, or disassemble the software.
• Use the Products to break any local, state, or federal laws or DOT regulations.
• Share login credentials or let unauthorized users access your account.
• Use the Products to create a competing product or service.

4. Ownership

All rights, titles, and interests in and to the Products, including all software, trademarks, designs, and content, remain the exclusive property of Eclipse DOT, LLC. Nothing in this Agreement transfers ownership to you.

5. Updates and Modifications

Eclipse DOT may improve, modify, or update the Products at any time. These updates may include bug fixes, feature upgrades, or design changes. We may also update this Agreement — and continuing to use our Products means you agree to the new version.

6. Termination

Eclipse DOT may suspend or terminate your access at any time if you violate this Agreement or misuse the Products. When termination happens, your license immediately ends, and you agree to stop using the Products.

7. Disclaimer of Warranties

The Products are provided “as-is” and “as-available.” Eclipse DOT makes no guarantees or warranties, either express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement.

8. Limitation of Liability

To the fullest extent allowed by law, Eclipse DOT, LLC and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages — including loss of data, revenue, or business opportunities — arising out of your use or inability to use the Products.

9. Compliance Responsibility

Eclipse DOT and DOT Docs simplify DOT processes and help companies manage their programs efficiently. However, your company remains solely responsible for meeting all DOT and FMCSA compliance requirements. Use of the Products does not guarantee compliance with any government regulations.

10. Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-law principles. Any disputes will be handled in Colorado courts.
